These terms govern the sale by Martin Adamec of individually agreed business data exports. The offer is aimed exclusively at businesses. Mandatory protections that a customer may enjoy remain applicable. Terms agreed individually in writing take priority where the law allows.
An enquiry is not binding on the customer. Before acceptance, our written quotation specifies the scope, the filters (industries, NAF codes, regions or départements), the fields supplied, the format, the number of records or the agreed estimate, the date of the data and sources, the price, payment and delivery terms, the licence to use and these terms. The contract is concluded by written acceptance of the quotation on the terms stated in it; no standard acceptance period is imposed.
We supply the export described in the accepted quotation. Updates and recurring services require a separate agreement. Public business information changes and some fields may be missing; the quotation states the relevant limitations, for example the number of records without a NAF code where matching against the Sirene database has not succeeded. These limitations do not remove the customer’s statutory rights in the event of a nonconforming delivery. We do not guarantee that contacts can be reached, that any marketing consent exists, or any responses or sales.
The price stated in the quotation is a full price in euros. Payment terms and the due date are set in the quotation; no advance payment or payment period is imposed automatically. Matters not agreed are governed by the applicable statutory rules. The publisher is not registered for VAT. TO CONFIRM: VAT treatment of services supplied by a provider established in the Czech Republic and not registered for VAT to business customers established in France (accountant’s advice). TO CONFIRM: wording on late-payment penalties and the fixed indemnity for recovery costs between businesses, if French law applies to the contract.
The date, file format (UTF-8 CSV with a semicolon delimiter; XLSX or JSON on request) and delivery method are set in the quotation. Any period during which a download link remains available is stated before acceptance. Delivery delays or technical problems should be reported using the contact details below; statutory remedies remain available.
Unless the quotation provides otherwise, the customer receives a non-exclusive right to use the data supplied for its own business purposes; before acceptance, the quotation specifies authorised recipients, onward sharing and any restrictions. We claim no ownership of public facts; rights in the compilation are asserted only to the extent protected by law. Third-party source licences continue to apply, in particular CDLA Permissive 2.0 for data from Overture Maps (sharing requires making the licence text available with the data) and Licence Ouverte 2.0 for data from the Sirene database (attribution of the source and update date). TO CONFIRM: how licence texts and source attributions are supplied with each export. Delivery does not in itself authorise processing of personal data or prospecting.
Each party remains responsible for its own processing. The customer establishes a legal basis, informs the data subjects (Article 14 GDPR) and respects their objections (Article 21 GDPR). According to the CNIL (in French), electronic prospecting of professionals may be based on legitimate interest where the subject of the approach relates to their profession, provided that the people have been informed and can object; electronic prospecting of private individuals requires their prior consent. Since 11 August 2026, telephone canvassing of consumers also requires their prior consent, while professionals can object (CNIL, in French). Buying an export creates no consent. The customer identifies the sender and offers a simple way to refuse further approaches in every message, keeps an objection list and does not reconstruct named email addresses without the required assessment. Exports must not be used for profiling based on sensitive data or for consumer credit decisions.
Send the order reference and a description of the discrepancy to our contact address, with examples where possible. The quotation specifies the agreed remedy, such as correction, replacement or an appropriate refund. Mandatory remedies remain applicable; where no particular remedy is agreed, statutory rules apply. No shortened complaint or limitation period is imposed here.
Liability is governed by applicable law. These terms impose no contractual liability cap, blanket warranty exclusion, penalty or indemnity. A statement about data limitations is not a waiver of the customer’s rights in the event of non-performance or any other legally established liability.
Our privacy notices describe processing relating to customers and to the database. Before any export containing personal data, in particular data of sole traders, the parties assess their respective roles, legal bases, necessary safeguards and any requirements for transfers outside the European Economic Area. A sale does not by itself make a disclosure lawful or make the customer a processor.
The service is intended for business use. These terms do not remove any mandatory right that applicable law grants to a particular customer. Any individually agreed termination terms must respect those rights.
Applicable law and jurisdiction follow the statutory conflict-of-laws and jurisdiction rules unless a valid individual agreement provides otherwise. These terms impose no exclusive foreign court or arbitration clause. TO CONFIRM: choice of law (Czech or French law) and competent court for business customers established in France.
The version supplied with the accepted quotation applies to that contract. Later changes to the website do not automatically amend existing contracts. If a provision is ineffective, the applicable statutory rules take its place; mandatory legal protections remain intact.
